General Terms and Conditions (GTC)

§1 Scope, Data Protection Notice
The services of 24 Prime Ride Automotive GmbH (hereinafter "24 Prime Ride") are provided exclusively in accordance with these General Terms and Conditions ("GTC"). These GTC apply to all offers and contracts within current and future business relationships, even if they are not explicitly agreed upon again. By using the agreed service in business transactions, these GTC are deemed accepted. Any terms and conditions provided by the customer that deviate from, contradict, or supplement these GTC are hereby expressly rejected, unless a written agreement regarding the specific deviation exists between the contracting parties. Individual agreements with the customer take precedence over these General Terms and Conditions (GTC) if they reflect the mutual intentions of the contracting parties. In this case, the conflicting GTC are irrelevant. A corresponding written agreement is required to confirm the validity of the differing GTC. Customer declarations made to 24 Prime Ride after conclusion of the contract must also be in writing to be effective. Unless 24 Prime Ride and the customer have agreed otherwise, the statutory provisions apply. Any references to laws are for illustrative purposes only. The customer is hereby explicitly referred to the 24 Prime Ride Privacy Policy (e.g., https://24primeride.de/datenschutz), which applies in addition.
§2 Representation
24 Prime Ride is not obligated to personally provide the service. In particular, in the event of short-notice unavailability or scheduling conflicts, 24 Prime Ride may also use other drivers and companies to provide the service.
§3 Limousine Service
The service consists of transporting passengers in their own vehicles. Customers can use the service from any starting point. All 24 Prime Ride chauffeurs are obligated to comply with the German Road Traffic Regulations (StVO). If a customer behaves in a manner that endangers traffic during a trip, 24 Prime Ride may terminate the trip at any time. All costs incurred will be borne by the customer.
§4 Offer and Contract Conclusion
24 Prime Ride Automotive GmbH offers limousine and chauffeur services, vehicle provision, and pre-booking of airport transfers and long-distance journeys in the Munich area. Customers can book single or recurring trips. A booking constitutes a binding offer. 24 Prime Ride may accept this offer within 30 days of receipt. Acceptance is made in writing or by actual provision of the service. Offers are non-binding within the meaning of Section 145 of the German Civil Code (BGB) unless they have been expressly designated as binding.
§5 Service Provision
24 Prime Ride is not liable for service failures due to force majeure or unforeseen circumstances (e.g., strikes, official actions, failure of third parties), provided these are not attributable to 24 Prime Ride. The customer will be informed immediately in such cases. Service delays will be assessed according to statutory regulations; a formal notice of default from the customer is always required.
§6 Prices and Payment Terms
The prices listed in the current price list apply unless otherwise agreed in writing. Prices are exclusive of applicable statutory VAT. The payment terms stated on the invoice are binding. Payments must be made exclusively to the account specified by 24 Prime Ride. Discounts are only granted upon express written agreement. Advance payments or deposits of up to 70% may be required for orders exceeding €3,000 net. Partial invoices are permitted. If no payment term is specified, the amount is due upon complete performance of the service. Additional charges may apply for payment methods that incur fees.
Waiting times: 1 hour for airport pickups and 15 minutes for other departure locations are included. Beyond this, €15.00 net will be charged for each additional quarter hour or part thereof. For hourly bookings, 20 km per hour are included. Exceeding the included time or distance will be charged additionally (€2.00/km or €20.00 per 15 minutes, respectively). Return trips outside the city/county area are charged separately. 24 Prime Ride may end trips prematurely if a foreseeable overrun is anticipated.
§7 Cancellation and Cancellation Fees
Cancellations up to 24 hours before the start of the ride are free of charge. After that, 24 Prime Ride may charge 50% of the fare for cancellations made less than 24 hours but less than 12 hours before the start of the ride. For cancellations made less than 12 hours before the start of the ride, 100% of the fare will be charged. The time of receipt of the cancellation notice (in writing via email or WhatsApp) is decisive. Both parties may terminate the contract without notice for good cause at any time. Terminations without notice must be in written form (email is sufficient). 24 Prime Ride may cancel the service in the event of force majeure. The customer will be informed immediately. In the case of temporary obstacles, the service date will be postponed appropriately, unless it is a fixed-date transaction.
§8 Customer's Obligations and Prohibited Use
The customer must arrive punctually at the agreed location. Additional costs incurred due to delays will be charged to the customer. For hourly bookings, onward travel is only possible after notification by the customer; waiting times of up to 60 minutes should be expected.
Vehicles may not be used for:
Transport of hazardous materials
Criminal offenses
Travel for purposes other than their intended use
Transport of alcohol
The customer may not incite the driver to commit any prohibited acts. The customer must inform the driver of any special circumstances in a timely manner (e.g., child seat, large luggage). Failure to provide such information may result in refusal of service – the price will still be due.
§9 Offsetting and Right of Retention
Offsetting is only permitted with undisputed or legally established claims. Rights of retention are only permitted for claims arising from the same contractual relationship.
§10 Right to Modify
Should the ordered vehicle not be available, 24 Prime Ride reserves the right to provide a replacement vehicle of equal or higher value. For vehicles in a lower category, an automatic price adjustment will be made. However, this does not entitle the customer to terminate the contract.
§11 Liability
Claims for damages are excluded unless 24 Prime Ride or its agents act with gross negligence or intent. This does not apply to personal injury. In cases of slight negligence, 24 Prime Ride is liable only for breaches of essential contractual obligations (cardinal obligations), limited to foreseeable damages. In the case of prohibited use (Section 6, Paragraph 3), the customer is liable without limitation.
§12 Creditworthiness and Insolvency
If there are doubts about the customer's creditworthiness, 24 Prime Ride may demand prepayment or security. In the event of the customer's insolvency, 24 Prime Ride is entitled to withdraw from the contract.
§13 Written Form
All amendments or additions to this contract must be in writing. Oral side agreements are only valid if confirmed in writing.
§14 Jurisdiction
If the customer is a merchant or a legal entity under public law, the place of jurisdiction is Munich. 24 Prime Ride may also bring legal action at the customer's place of business.
§15 Severability Clause
Should any provision of these terms and conditions be invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that most closely approximates its intended economic purpose.
§16 Final Provisions
In addition to these terms and conditions, German law shall apply. 24 Prime Ride reserves the right to amend these terms and conditions at any time. This also applies to customers domiciled abroad.
